Metaps Holdings, Inc. (Representative Director: Yuichiro Yamazaki; Headquarters: Shibuya-ku, Tokyo; hereinafter referred to as “Party A”) and Micronity Inc. (Representative Director: Yuichiro Yamazaki; Headquarters: Shibuya-ku, Tokyo; hereinafter referred to as “Party B”) have resolved to execute an absorption-type split (hereinafter referred to as the “Split”), effective January 1, 2026. Through this Split, Party B will succeed all rights and obligations related to the businesses of Party A’s Technology Strategy Department and Growth Strategy Department.

Splitting Company: Metaps Holdings, Inc.
Succeeding Company: Micronity Inc.
Effective Date: January 1, 2026

Following the Split, Party A will position its investment business, centered on technology companies, as its core management focus. By leveraging the management expertise and networks cultivated to date, Party A will concentrate on supporting the sustainable growth of its portfolio companies. Through these efforts, we aim to enhance the corporate value of our portfolio companies and provide further added value to their customers.
